Terms of Service
Legal Authority
The following Terms of Service (“Terms”) are between you and Air Space Intelligence, Inc. , a Delaware corporation (“Air Space Intelligence”), and constitute a legal agreement that governs your use of all Air Space Intelligence websites within the domains https://www.airspace-intelligence.com/ (the “Site”) and all related services including any mobile applications (collectively, the “Service”). You must agree to these Terms before you can use the Service. You can agree to these Terms by: (a) actually using the Service, including, without limitation, accessing any Air Space Intelligence website, or (b) clicking a box that indicates you agree to the Service, where such a box is made available to you. If you do not agree to any of the following Terms, you may not use the Service and must leave any Air Space Intelligence website.
To use and/or register for the Service you (a) must be of legal age to form a binding contract with Air Space Intelligence, and (b) cannot be a person or entity barred from receiving the Service under the laws of the United States or other applicable jurisdiction, including the country in which you reside, are incorporated, or from which you use the Service. By accepting these Terms, you represent that you understand and agree to the foregoing.
Modifications of Terms of Service
Air Space Intelligence reserves the right, at its sole discretion, to modify or replace the Terms at any time. If the alterations constitute a material change to the Terms, Air Space Intelligence will notify you by posting an announcement on the Site. What constitutes a “material change” will be determined in Air Space Intelligence’s sole discretion, in good faith and using common sense and reasonable judgment. You are responsible for reviewing and becoming familiar with any such modifications. Your use of the Service following such notification constitutes your acceptance of the terms and conditions of the Terms as modified.
Registration
User IDs
Air Space Intelligence may provide you with an individual user ID (each a “User ID”) for access to certain parts of the Service. A User ID may only be used by the individual to whom it is issued. If you received a User ID, the following additional terms apply to your use of that User ID:
- You may only use such User ID while you are employed by the company for which Air Space Intelligence authorized your access to the Service.
- As between you and the company with which you are employed, such company will have full control over your User ID, and Air Space Intelligence may, in its sole discretion or at the request of such company, at any time terminate your ability to access those aspects of the Service that can only be accessed through a User ID. If such company ceases to be a client of Air Space Intelligence or you cease to be employed by such company, we may terminate your ability to access those aspects of the Service that can only be accessed through a User ID.
Account Security
Upon receiving your User ID, you will be required to select a password. Please choose a strong password and do not reveal your password to others. You agree that you are responsible for keeping your password confidential and secure, and further understand that you (together with your company if you are an individual who registers for a User ID for the Service) are solely responsible and liable for any activities that occur under your User ID. Each company will be responsible for all activity that occurs under each of its employee’s User IDs for the Air Space Intelligence Service. If you suspect or become aware of any unauthorized use of any User ID, or if you become aware that any employee with an active User ID ceases to be employed or engaged by the company for which such User ID was authorized by Air Space Intelligence for the Air Space Intelligence Service, please notify us at support@airspace-intelligence.com.
Registration Obligations
You agree that all information you provide to Air Space Intelligence during the registration process (“Registration Data”) will be accurate, complete and current information, and that you will maintain and update the Registration Data as needed to keep it accurate and current. Failure to provide accurate, current and complete Registration Data could result in the suspension and/or termination of your ability to access all or portions of the Service.
Content Ownership and Usage Rights
Air Space Intelligence retains all worldwide rights in the intellectual property of the Site and any content on the Site, including, but not limited to, trademarks, the “look and feel” of the Site, its color combinations, layout, and all other graphical elements, and the copyright in and to its original content. You should assume that everything you read or see on the Site is copyrighted or otherwise protected and owned by Air Space Intelligence, or a third party who licensed the right to use such content to Air Space Intelligence. Unless otherwise expressly noted, nothing that you read or see on the Site or other site content, or any of the source code or HTML code that Air Space Intelligence uses to generate the Site may be copied, reproduced, modified, distributed, transmitted, republished, displayed, or performed for commercial use without the prior written consent of Air Space Intelligence, except as provided in the Terms, without prior written consent or otherwise permitted by relevant law.
Air Space Intelligence Privacy and Cookie Policy
You understand that by using the Service, you consent and agree to the collection and use of certain information about you and your use of the Service in accordance with the Air Space Intelligence Privacy and Cookie Policy, which is incorporated into and forms a part of these Terms. Linking and Framing
Air Space Intelligence does not object to links on third-party sites to the homepage of the Site in an appropriate context. However, “framing,” “mirroring,” or “scraping” the Site or any of its content is prohibited without the prior written consent of Air Space Intelligence. The Site may provide links to other sites or resources available on the Internet. Because Airspace Intelligence has no control over such sites and resources, you acknowledge and agree that Air Space Intelligence is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any content, advertising, products or other materials on or available from such sites or resources. You further acknowledge and agree that Air Space Intelligence shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such site or resource.
Trademarks and Trade Names
The company name, graphics, logos, designs, page headers, button icons, scripts, and other product and service names are the trademarks and trade names of Air Space Intelligence. Air Space Intelligence’s trademarks and trade names may not be used, including as part of trademarks and/or as part of domain names, in connection with any product or service in any manner that is likely to cause confusion.
Electronic Communications
We use reasonable security measures and take reasonable system, process and administrative precautions to protect the security and integrity of email and other electronic communications that you may send to us. Despite all these precautions, no method of transmission over the Internet is entirely secure and we cannot guarantee the confidentiality or security of the electronic communications or its contents. You transmit such information at your own risk and you should decide very carefully which information you want to send us via any electronic communication.
Security
Users are prohibited from violating or attempting to violate the security of the site. Air Space Intelligence will investigate occurrences of possible violations and will cooperate with all applicable law enforcement authorities in prosecuting violators.
Warranty Disclaimers
We have taken diligent care in acquiring and providing the information included and posted on the Site. Nonetheless, Air Space Intelligence makes no guarantee or warranty, express or implied, as to the reliability, accuracy, timeliness or completeness of that information and assumes no responsibility for any errors or omissions therein.
You access the site and service at your own risk. the site, service and all content therein is provided on an “as is, as available” basis without warranty of any kind and any and all warranties of merchantability or fitness for a particular purpose or non-infringement are specifically disclaimed. Neither Air Space intelligence nor its affiliates, employees, agents or third-party content providers shall be liable for any loss resulting from use or unavailability of information or content on this site and service, including but not limited to any lost profits, loss or damage to data, or any direct, indirect, special, consequential, compensatory or incidental damages, even if they have been advised of the possibility of such damages. This disclaimer is applicable to any damage or injury resulting from negligence or omission of Air space intelligence, computer virus or other similar item, telecommunications errors, or unauthorized access to or use of user information through theft or any other means. Air Space Intelligence is not liable for criminal, tortious or negligent actions or omissions of third parties that affect the service. In no event will Air Space intelligence or any of its affiliates, agents, employees, assigns or third-party content providers be held liable for any tortious or illegal conduct of other users. In no event will Air Space intelligence or any of its affiliates, agents, employees or assigns be held liable for any damage to equipment, hardware or other property of user or personal injury that arises in connection with use of the service.
Limitation of Liability
To the fullest extent allowed by applicable law, under no circumstances and under no legal theory (including, without limitation, tort, contract, strict liability, or otherwise) shall Air Space intelligence be liable to you or to any other person for (a) any indirect, special, incidental, punitive or consequential damages of any kind, including damages for lost profits, business interruption, loss of data, loss of goodwill, work stoppage, accuracy of results, or computer failure or malfunction, (b) any substitute goods, services or technology, (c) any amount, in the aggregate, in excess of one-hundred ($100) dollars or (d) any matter beyond our reasonable control. Some states do not allow the exclusion or limitation of incidental or consequential or certain other damages, so the above limitation and exclusions may not apply to you.
Indemnity
You will indemnify and hold harmless Air Space Intelligence, its parents, subsidiaries, affiliates, customers, vendors, officers and employees from any liability, damage or cost (including reasonable attorneys’ fees and costs) from any loss, claim or demand arising out of your access to or use of the Service or any content on the Service, your violation of the Terms, or your infringement of any intellectual property or other right of any person or entity.
Governing Law
These Terms and the relationship between you and Air Space Intelligence shall be governed by the laws of the State of California, excluding its conflicts of law provisions. You agree to submit to the personal and exclusive jurisdiction of the federal and state courts located within the City and County of San Francisco, California, to resolve any dispute or claim arising from these Terms.
Miscellaneous
These Terms constitute the entire agreement between you and Air Space Intelligence, govern your use of the Service and completely replace any prior agreements between you and Air Space Intelligence in relation to the Service. You may also be subject to additional terms and conditions that may apply when you use affiliate services, third-party content, or third-party software. If any part of these Terms is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intention of the parties, and the remaining portions shall remain in full force and effect. You may not assign your rights or obligations hereunder, by operation of law or otherwise. Air Space Intelligence may freely assign its rights and obligations hereunder. The failure of Air Space Intelligence to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. These Terms will survive notwithstanding any termination of your access to all or any portion of the Service. You agree that, except as otherwise expressly provided in these Terms, there shall be no third-party beneficiaries to this agreement. No agency, partnership, joint venture, or employee-employer relationship is intended or created by these Terms. Any translation of these Terms is done for local requirements and in the event of a dispute between the English and any non-English versions, the English version of these Terms shall govern. You agree that any claim or cause of action arising out of or related to these Terms or the use of the Service must be filed within one (1) year after the cause of action arose or be forever barred, except as otherwise required under applicable law.
